'That the proposed disposal bySMG Out of Home Limited ofPrimesight Limited pursuant tothe Disposal Agreement (as defined 230,417,129 425,225 42,287 321,948in the circular to shareholdersdated 28 September 2007, a copy ofwhich has been produced to the meeting and initialled by the Chairman of the meeting for the purposes of identification only (the "Circular")), in the manner and on the terms and conditions of the Disposal Agreement, be and ishereby approved and that theDirectors be and are herebyauthorised to take all such stepsas may be necessary or desirablein relation thereto and to carry the same into effect with suchmodifications, variations, revisions or amendments(providing such modifications, variations, revisions or amendments are not of a material nature) as they shall deem necessary or desirable'. The Resolution was proposed as an ordinary resolution. An abstention is not a vote in law and is not counted in the calculation ofproportion of votes "For" or "Against" a resolution.
