Grant of Buyout Awards
Mark FitzPatrick was appointed to the Company's Board of Directors as Chief Executive Officer Designate on 1 October 2023.
On 24 October 2023, Mark was granted the following nil-cost options under the St. James's Place plc Performance Share Plan over 100,044 Ordinary Shares of 15 pence each in respect of the buy-out of a portion of the share awards that Mark forfeited on leaving his previous employment. The number of shares awarded has been calculated using a market price of £6.4388 per share.
The nil-cost options will vest in tranches on the vesting dates shown in the table below, subject to the achievement of performance conditions. Any shares which vest will be subject to a post-vesting holding period of two years from the relevant vesting date.

The Remuneration Committee believes that this award fairly reflects the share awards Mark forfeited in terms of value and timescale of vesting.
