St. James's Place plc (the "Company")

The Company announces that an application has been made to the UK Listing Authority and the London Stock Exchange for a block listing totalling 7,082,711 ordinary shares of 15 pence each, to trade on the London Stock Exchange and to be admitted to the Official List. The shares will be reserved under a block listing and will be issued in connection with:

· SJP Sharesave Option Plan 2010 (290,564)

· SJP 2010 Company Share Option Plan (163,874)

· SJP 2014 Performance Share Plan (769,558)

· SJP Partners' Performance Share Plan (5,858,715)

It is expected that admission will become effective on 25 March 2020. When issued, the Shares will rank pari passu with the existing ordinary shares of the Company.
