NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMRs')
The Company notifies the following changes in the interests in the ordinary shares of 2p each (Shares) of PDMRs, arising from awards granted under the Serco Group plc 2019 Long-Term Incentive Plan (Share Awards) on 6 September 2023 at a price of £1.5212 per Share, being the average closing price of the Shares over the five Dealing Days prior to the date of grant.

216,9331 and 187,3522 respectively, are subject to performance conditions (Aggregate Earnings per Share (25%); Relative Total Shareholder Return (25%); Average Return on Invested Capital (25%); Environmental, Social and Governance Scorecard (15%); and Order Book (10%)) that will be measured over a period of three years.
Malus and clawback provisions apply to the Share Awards.
This announcement is made in accordance with the requirements of the UK version of the Market Abuse Regulation 596/2014.
