Management Share Awards

Sirius Real Estate announces that the Company's executive Board Directors and senior management team have been issued new ordinary shares in the Company, pursuant to the Company's incentive plans.

333,334 ordinary shares have been issued out of treasury to each of Andrew Coombs, Chief Executive Officer of Sirius Real Estate and Alistair Marks, Chief Financial Officer of Sirius Real Estate under the Company's Long Term Incentive Plan.

Additionally, under the Company's programme of matching share purchases by executive Directors, 289,047 and 62,500 shares have been issued out of treasury to Andrew Coombs and Alistair Marks respectively to match the shares acquired by these individuals during the financial year to 31 March 2014.

As a result, Andrew Coombs has an interest in 2,520,121 ordinary shares representing 0.48% of the total voting rights of the Company. Alistair Marks has an interest in 2,195,977 ordinary shares representing 0.42% of the total voting rights of the Company.

Following these issues of ordinary shares, the total number of voting rights in the Company will be 520,499,754, the number of shares in treasury shall be 4,919,284 and the total number of ordinary shares in issue (including those in treasury) will be 525,419,038.

The Board has further approved the conditional award of 325,813 ordinary shares to the senior management team as a bonus and associated share matching award in respect of the financial year ending 31 March 2014. The issue of these shares is subject to performance criteria required to be met in connection with the financial year to 31 March 2015.
