Update on Debt Facilities, Appointment of Joint Broker and Option Exercise

SigmaRoc plc, the AIM listed construction materials business (AIM: SRC), wishes to update the market on the following items:

Santander Debt Facilities

SigmaRoc confirms that it has satisfied the conditions in relation to the Santander UK plc ('Santander') debt facilities announced on 21 February 2017. Accordingly, the Company has now signed the £2 million Revolving Credit Facility agreement.

The terms and conditions for the £18 million term facility (the 'Term Facility') with Santander have also been agreed. It is envisaged that the Term Facility agreement will be finalised and executed in due course as SigmaRoc pursues its expansion pipeline.

Joint Broker to the Company

SigmaRoc is pleased to announce the appointment of Berenberg as a Joint Broker to the Company, alongside Zeus Capital Limited, with immediate effect.

Option Exercise and Total Voting Rights

Additionally, SigmaRoc announces that it has received notification from an option holder to exercise options over 104,059 new ordinary shares of 1 pence each in the capital of the Company (the 'New Ordinary Shares'), at an exercise price of 25 pence per share raising, in aggregate, £26,014.75.

Application will be made for the New Ordinary Shares to be admitted to trading on the AIM market of the London Stock Exchange ('Admission'). Admission is expected to occur on or around 8 May 2017.

Following the issue of the New Ordinary Shares, the total issued share capital of the Company consists of 102,705,557 ordinary shares of 1 pence each ('Ordinary Shares') with voting rights. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company is 102,705,557 and this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
