The following amendment hasΒ been made to the 'Total Voting Rights' announcement released onΒ 4th January 2010Β atΒ 10:36 under RNS NoΒ 9513E.

The shares in Treasury figure has been amended from 854,347 to 846,847 and the total number of voting rights in Spirax-Sarco Engineering plc has been amended from 76,384,169 to 76,391,669.

In conformity with the Transparency Directive's transitional provision 6 we would like to notify the market of the following as at 31st December 2009:

Spirax-Sarco Engineering plc's capital consist of 77,238,516 ordinary shares with voting rights. Spirax-Sarco Engineering plc holds 846,847 shares in Treasury.

Therefore, the total number of voting rights in Spirax-Sarco Engineering plc is 76,391,669.

The above figure (76,391,669) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Spirax-Sarco Engineering plc under the FSA's disclosure and Transparency Rules.
