Spirax-Sarco Engineering PLC (the "Company")

Application has been made for the listing of 7,877 ordinary shares of 25p each fully paid ("shares") to the UK Listing Authority and for trading of the shares with the London Stock Exchange. It is expected that admission will be granted on 28th July 2011, and that dealings will commence on the same day. These shares are issued as a result of the allotment of shares pursuant to the Spirax-Sarco Engineering plc Employee Share Ownership Plan Scrip Dividend (Special Final Dividend). When issued, these shares will rank pari passu with the existing ordinary shares. The 7,877 shares include those already announced on 12th July 2011 notifying Directors interests in shares that relate to the Company's Employee Share Ownership Plan.
