GL53 8ER News Release Telephone: 01242 521361 Fax: 01242 581470 www.SpiraxSarcoEngineering.com 6 April 2006 Spirax Sarco acquires flow measurement business for US$2.75 million (£1.6 million) The Group announces that it has acquired the assets and business of AFTCO, LLCof Florida, USA from AMJ Equipment Corporation, also of Florida. The AFTCO business will be merged with the EMCO flow measurement business whichthe Group acquired in June 2005. AFTCO's range of electromagnetic flow metersis well known in the USA municipal water market and complements EMCO's existingrange of flow meter products based on vortex, turbine, ultrasonic anddifferential pressure technologies. The AFTCO range will broaden the Group'srange of flow measurement products for use on steam and condensate applicationsin the USA and international markets. The initial purchase consideration, which is subject to adjustment based onfuture sales, is $2.75 million (£1.6 million) and will be funded from existingdebt facilities.
