Board Changes

Following the level of acceptances reached in connection with Bidco 1125 Limited's ("Bidco") recent offer for the Company which closed on 15 May 2026, and at the request of Ian Livingstone and Luke Johnson, who together hold a majority of the shares in Bidco, the board of directors of the Company (the "Board") announces that Luke Johnson has been appointed as a non‑executive director of the Company with immediate effect. In addition, Ian Livingstone will act as a Board observer on behalf of Bidco, but will not have a right to vote at Board meetings.

As part of his role, Mr. Johnson will join the Company's Audit and Risk and Remuneration and Nomination Committees. The fee for Mr. Johnson's service on the Board will be paid to Bidco and will be commensurate with that of the Company's other non-executive directors.

Garden Retail Online Limited entered into creditors' voluntary liquidation on 23 January 2023 and was dissolved on 11 January 2024.

Income Tax Professionals Limited entered into creditors' voluntary liquidation in May 1999.

JL20 Restaurants Limited entered administration on 03 December 2025.

Just Tyres Limited entered administration in October 2001. The company was dissolved on 16 February 2007.

Lussmanns Restaurants Limited entered into administration on 5 November 2020 and was dissolved on 25 January 2023.

Malbec Topco Limited was wound up by a court ordered liquidation on 19 September 2018 and was dissolved on 14 April 2021.

MKA Realisations Limited, a subsidiary of Garden Retail Online Limited, entered into administration on 7 December 2022.

Patisserie Holdings PLC entered administration on 22 January 2019 and then compulsory liquidation on 29 July 2020. 

PTS Realisations Limited, a subsidiary of Patisserie Holdings plc, entered administration on 22 January 2019 and then creditors' voluntary liquidation on 28 October 2019.

PV Acquisition Realisations Limited, a subsidiary of Patisserie Holdings plc, entered into administration on 22 January 2019 and then creditors' voluntary liquidation on 17 October 2019.

PV Holdings Realisations, a subsidiary of Patisserie Holdings plc, Limited entered into administration on 13 February 2019 and then creditors' voluntary liquidation on 29 October 2019.

Spice Bakery Limited, a subsidiary of Patisserie Holdings plc, entered into administration on 13 February 2019 and then creditors' voluntary liquidation on 29 October 2019.

Stonebeach, a subsidiary of Patisserie Holdings plc, Limited entered administration on 22 January 2019 and then creditors' voluntary liquidation on 29 October 2019.

Sunday Business Newspaper Limited entered administration on 22 July 1997. The company was dissolved on 18 May 2004.

The Revel Collective plc entered administration on 27 January 2026.

Utility Cable plc entered administration on 14 September 1998. The company was dissolved on 2 November 2007.
