· Establishment of the Euro Medium Term Notes Programme and approval of the EMTN Programme Base Prospectus

In the implementation of the provisions of Article 1 - Article 5 of S.N.G.N. Romgaz S.A. Extraordinary General Meeting of Shareholders' Decision no. 10 of July 1, 2024, the Board of Directors of S.N.G.N. Romgaz S.A. approved, on September 19, 2024:

- the establishment of the Euro Medium Term Notes Programme of S.N.G.N. Romgaz S.A. ("EMTN Programme") and

- submission of the EMTN Programme Base Prospectus for approval with the Commission de Surveillance du Secteur Financier of Luxembourg ("CSSF") as competent authority according to Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC.

The Base Prospectus of the EMTN Programme was approved by the CSSF on September 20, 2024.

The issue of notes (Offers) and specific Final Terms under the EMTN Programme, admission to trading, respectively listing to the regulated markets will be approved by subsequent resolutions specific to each issue.
