Exercise of Options
Sanderson Group plc ('Sanderson' or 'the Group'), the software and IT services business specialising in digital retail technology and enterprise software for businesses operating in the manufacturing, wholesale distribution and logistics sectors, announces that Mr Ian Newcombe, Group Chief Executive, exercised options over 66,250 ordinary shares on 6 June 2018.
The exercised options include 31,250 with an exercise price of 30 pence and a further 35,000 with an exercise price of 27.5 pence, both tranches of options were awarded under the Sanderson Group Company Share Option Plan. Following the option exercise, Mr Newcombe is interested in 178,750 ordinary shares representing 0.30% of the issued share capital of the Group. Application has been made for the new shares to be admitted to AIM and admission is expected to take place on 12 June 2018. Mr Newcombe intends to hold the shares as part of his longer term investment and commitment to Sanderson.
The new ordinary shares pursuant to the exercise of options will rank pari passu with the existing Sanderson ordinary shares. Following allotment of the new ordinary shares, Sanderson will have in issue 59,972,484 ordinary shares of 10p each. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Sanderson, under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
