Transaction in Own Shares

WH Smith PLC (the "Company") announces that it has purchased, in accordance with the authority granted by shareholders at the Company's Annual General Meeting on 24 January 2018, the following number of its ordinary shares of 22 6/67 pence each ("Shares") as part of the buyback programme announced on 8 December 2017:

Date of purchase: 29 August 2018

Number of Shares purchased: 20,000 Shares

Highest price paid per Share: 2058.0 pence

Lowest price paid per Share: 2026.0 pence

Average price paid per Share: 2040.3717 pence

Broker: Barclays Capital Securities Limited

The Company intends to cancel these Shares.

The company has 109,419,977 Shares in issue. This number represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
