Shareholder Return Program for FY2024-2026

The Board of Directors of Samsung Electronics Co., Ltd. ("SEC") (KS005930, KS005935, SMSN, SMSD) on January 31, 2024, authorized the following shareholder return program for FY2024-2026.

· SEC will return 50% of the free cash flow for the three-year term from 2024 to 2026 to shareholders.

- SEC will distribute 9.8 trillion won in regular dividends for each year of the three-year term

- SEC will return the remaining portion of the 50% of total free cash flow for the three-year term if 50% of the term's total free cash flow is greater than the term's total regular dividends.

· At the close of each year, we will consider executing an early return of capital beyond regular dividends if we forecast there is potential for a significant surplus.

· We will consider implementing a new policy flexibly before the expiration of the proposed one in consideration of M&A activities and cash positions.
