Extended Share Buyback Programme Update

21 December 2017

With reference to the Share Buyback Programme (the "Programme") announced on 21 August 2017 and the extension thereof announced on 1 November 2017, the Company announces that between 9 December 2017 and 15 December 2017, a total of 79,294 Ordinary $0.01 Shares ("Ordinary Shares") were purchased from non-UK based shareholders at a price of A$0.1619 per Ordinary Share. This brings the total purchased during the course of the Programme to 1,908,645, Ordinary Shares.

To date, 39% of the shareholders eligible under the terms of the Programme have taken up the offer detailed in the announcements on 21 August 2017 and 1 November 2017. In order to afford the remaining shareholders the opportunity to still accept the offer, the Company is extending further the closing date to 31 March 2018. Ordinary Shares bought back in accordance with this Programme will be held in treasury to be cancelled.

Following the above transaction, the Company's issued share capital is 291,133,661 Ordinary Shares, of which a total of 4,488,640 Ordinary Shares are held in Treasury. Therefore, the total number of Ordinary Shares with voting rights in Sylvania is 286,645,021 Ordinary Shares.
