("Boxhill", the "Group" or the "Company")
Issue of New Ordinary Shares
Further to the announcement of 10 February 2016, the Company has today issued 400,000,000 new ordinary shares of 0.1 pence each ("Ordinary Shares") in the Company in conversion of £1,600,000 of 0% unsecured, undated, convertible loan stock issued in consideration for the acquisition of Emex (UK) Group Limited, and the associated company, FreePayMaster Limited (the "Conversion Shares"). The Company is unaware of any new holder of 3% or greater of the issued share capital of the Company following the issue of the Conversion Shares.
An application has been made for the Conversion Shares to be admitted to trading on AIM with effect from 15 June 2016.
Following the issue of the Conversion Shares, the Company will have a total of 1,855,829,770 Ordinary Shares in issue. The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
