BRIXTON LIMITED (the Issuer) (incorporated in England and Wales with registered number 202342) NOTICE to the holders of those of the £150,000,000 5.25 per cent. Bonds due 2015 (the 2015 Bonds) and the
£210,000,000 6 per cent. Bonds due 2019 (the 2019 Bonds, and together with the
2015 Bonds, the Bonds) of the Issuer presently outstanding
NOTICE IS HEREBY GIVEN to the holders of the above Bonds that, at the separate meetings of such holders in respect of each of the 2015 Bonds and the 2019 Bonds, each convened by a notice published on 5th November, 2010 and held on 6th December, 2010, the extraordinary resolution set out in each such notice (each, an Extraordinary Resolution) was duly passed. The condition set out in paragraph 6 of each Extraordinary Resolution has been satisfied and, consequently, the modifications referred to in each Extraordinary Resolution will be implemented with effect on and from 6th December, 2010.
