South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY) (South32) advises in accordance with the Financial Conduct Authority's (FCA) Disclosure Guidance and Transparency Rule 5.6, South32 ('the Company') notifies the market that as of 30 April 2019 the:

· Company's issued share capital consists of 5,030,632,084 Ordinary shares, each with one vote

· Company does not hold any shares in Treasury

The above figure of 5,030,632,084 may be used by shareholders as the denominator for the calculation by which they can determine whether they are required to notify their interest in, or a change of their interest in, the Company under the FCA Disclosure Guidance and Transparency Rules.
