The Company announces the following changes to the interests of PDMRs in the Company’s Ordinary Shares of £1.00 each (“Ordinary Shares”).
On 6th April 2016 the Company granted the following Conditional Awards over Ordinary Shares under the terms of the RSA Performance Share Plan 2014 (PSP) to the following PDMRs at nil cost:

Under normal circumstances, awards of Performance Shares will vest on 6th April 2020, subject to the testing of performance conditions, the rules of the PSP and the provisions of the Company’s approved Remuneration Policy.
Bonus Deferral Shares are awarded as part of the Annual Bonus award. 3,891 shares vest immediately on the date of grant, being 6th April 2016, and under normal circumstances the balance of 7,782 shares will vest on 6th April 2020.
A six month holding period is applicable to vested share awards, from their relevant vesting date.
This announcement is made following notifications made in accordance with Disclosure and Transparency Rule 3.1.2R.
