Rolls-Royce Holdings plc

On 1st September 2015, Rolls-Royce Holdings plc (the Company) made a conditional award of ordinary shares at a price of 730 pence per share to the following Persons Discharging Managerial Responsibility (PDMRs) under the terms of the Rolls-Royce plc Performance Share Plan (PSP). No amount is payable for the grant of an award.

Shares awarded under the PSP will vest in September 2018 provided the performance criteria are met.
