Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them
Rolls-Royce Holdings plc (the Company)announces that on 23 March 2018 ordinary shares in the Company were awarded to Andreas Schell, a Person Discharging Managerial Responsibility (PDMR), under the rules of the Rolls-Royce Deferred Share Bonus Plan at a price of £8.5747 per share. The deferred share award will be transferred to the PDMR from the Rolls-Royce 2016 Employee Benefit Trust in two years time, provided that the PDMR remains an employee of a Rolls-Royce group company.

An award was also made to Andreas Schell on 23 March 2018, under the rules of the Rolls-Royce Long Term Incentive Plan (LTIP) at a price of £8.5747 per share. No amount is payable upon the grant of the award. The award will vest in 2021 subject to performance criteria being met and is then subject to a two year holding period.
