Roc Oil Company Limited ("the Company" or "ROC")

Further to ROC's application to AIM for the admission of up to 146,656,751 Ordinary Shares in the Company (the "Application") and announcement of the previous allotment of shares under the Application, ROC announces that it has allotted a further 56,449,650 shares under the Application. Admission of these shares is expected on 3 October 2008 and the shares will rank pari passu in all respects with the existing shares in issue.
These shares have been allotted in connection with ROC's acquisition of Anzon Australia Limited ("AZA") ("the Offer") and, as at 2 October 2008, ROC had allotted in total 95,458,636 shares under the Application in respect of 120,528,576 AZA shares for which valid acceptances had been received under the Offer. Following the issue of these further shares, ROC's issued share capital consists of 539,942,336 Ordinary Shares.
Further allotments of ROC shares to be issued pursuant to the Offer are expected as acceptances are received and announcement of the expected dates for admission of these shares will be made in due course.
