Issue of Shares

Regency Mines Plc, the natural resources exploration and investment company with interests in oil in the United Kingdom and United States, and nickel and other minerals in Australia, Papua New Guinea and Sudan, is pleased to announce that it has issued a total of 103,830,659 new ordinary shares of 0.1 pence each ("New Shares") in the Company at an average price of 0.431p per share.
50,000,000 New Shares have been placed with institutional and private investors at a price of 0.4p per share and 41,905,659 New Shares have been issued at a price of 0.4772625p pursuant to a SEDA facility with YA Global Master SPV Ltd (together the "Placing") to raise a total of £400,000 before expenses. The proceeds of the Placing will be applied towards exploration activities at the Company's phosphate and potash project in Sudan and towards its recent investments in oil & gas in the United States and United Kingdom.
In addition, the Company has issued a total of 11,925,000 New Shares at a price of 0.4p per share to certain providers of services to the Company in satisfaction of aggregate amounts owing of £47,700.
Application has been made to the London Stock Exchange for the New Shares, which rank pari passu with the Company's existing issued Ordinary Shares, to be admitted to trading on AIM. Dealings are expected to commence at 8.00 a.m. on 3 October 2014.
Following the Placing, the Company's total issued ordinary share capital will consist of 1,696,054,893 Ordinary Shares with voting rights. No Ordinary Shares are held in treasury.
The above figure of 1,696,054,893 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
