("Revolution Beauty" or the "Company")
Grant of Share Options
Revolution Beauty (AIM: REVB), the multi-channel mass beauty brand, announces the grant of 44,800,000 share options (the "Options") over ordinary shares of 0.1 pence each ("Ordinary Shares") to two Directors and a number of employees and consultants of the Company, under the Revolution Beauty Long Term Incentive Plan ("LTIP"). The Options, representing 5.2 per cent. of the Company's existing issued share capital, have an exercise price of 3 pence per Ordinary Share. The closing mid-market price of an Ordinary Share on 15 April 2026, the date of the grant, was 3.1 pence. All of the Options will vest in three equal tranches on the following vesting dates: 25 November 2026, 25 November 2027 and 25 November 2028.
Of the 44,800,000 Options granted, 3,500,000 Options have been granted to Tom Allsworth (Co-founder and CEO) and 3,500,000 to Neil Catto (CFO) as follows:

In addition, 3,500,000 Options have been granted to Adam Minto as co-founder of the business.
Of the total 44,800,000 Options granted, 11,500,000 Options are non-tax advantaged share options over Ordinary Shares to employees or consultants of the Company who are either not resident in the UK or not eligible for Enterprise Management Incentive ("EMI") qualifying options. The remaining 33,300,000 Options are EMI qualifying options. Following the grant of the Options, the Company has options outstanding over a total of 53,724,606 Ordinary Shares, representing 6.2% of the Company's current issued share capital. The Company has consulted with major shareholders regarding the grant of the Share Options.
