At the Extraordinary General Meeting ("EGM") held today, all the resolutionswere passed including the change of name to X-Phonics Plc . Accordingly 24,562,500 Placing Shares and 8,234,500 Consideration Shares havebeen conditionally allotted subject to Admission expected to occur on 30 August2006.
