2014 ANNUAL FINANCIAL REPORT AND ANNUAL GENERAL MEETING

The Company announces that its Annual General Meeting is to be held at 9.30am on 26 January 2015 at Jubilee House, Second Avenue, Burton upon Trent, Staffordshire, DE14 2WF.

Hard copies of the Company's 2014 Annual Report and Accounts, Notice of Annual General Meeting and Form of Proxy have been posted to shareholders who have elected to continue to receive paper communications. Shareholders who have not elected to continue to receive paper communications have been sent an electronic Notice of Availability informing them that the Notice of Annual General Meeting, Form of Proxy and 2014 Annual Report and Accounts are available on the Company's website at www.punchtavernsplc.com. Pursuant to Listing Rule 9.6.1, these documents have also been submitted to the National Storage Mechanism where they will be available for inspection at www.hemscott.com/nsm.do.

In accordance with the requirements of Rule 6.3.5(2) of the Disclosure and Transparency Rules, Appendix A to this announcement contains a responsibility statement of the Company's Directors.

Appendix A - Directors' responsibility statement

The 2014 Annual Report and Accounts contains the following statement regarding responsibility for the Financial Statements and Management Report included in the 2014 Annual Report and Accounts.

Each of the Directors, whose names and functions are listed below, confirm to the best of their knowledge:

a) the group and parent company financial statements, prepared in accordance with IFRS, as adopted by the European Union, give a true and fair view of the assets, liabilities, financial position and profit or loss of the Company and the Group as a whole; and

b) the Directors have concluded that the Annual Report and Accounts taken as a whole, is fair, balanced and understandable and provides the information necessary for shareholders to assess the Company's performance, business model and strategy; and

c) the management report includes a fair review of the development and performance of the business and the position of the Company and Group , together with a description of the principal risks and uncertainties faced.
