Director Declaration

ProCook Group plc (the "Company") has been notified by Lee Tappenden, CEO of the Company, that the following companies have entered liquidation or administration processes. Mr. Tappenden served as a director of these companies as subsidiaries of his previous employer, Amyris, Inc. (which filed for Chapter 11 bankruptcy in August 2023). Mr Tappenden served notice of his resignation as President Amyris International on 4 July 2023.

· Amyris UK Trading Limited entered creditors' voluntary liquidation on 18 December 2023. Mr. Tappenden resigned as a director on 11 September 2023;

· Beauty Labs International Limited entered creditors' voluntary liquidation on 29 December 2023. Mr. Tappenden resigned as a director on 14 August 2023; and

· MG Empower Limited appointed an administrator on 15 February 2024. Mr. Tappenden resigned as a director on 4 August 2023.

This notification satisfies the Company's obligations under paragraph 9.6.14(1) of the Listing Rules.
