Pre-emptive rights results and expected dividend rate per share
As previously disclosed, on 30 June 2017 the annual general shareholders' meeting of Public Joint Stock Company Polyus (the "Company" or "Polyus") approved the payment of dividends for the financial year ended on 31 December 2016 in the amount of 20,062,843,800 Russian roubles (which is equivalent to 354,000,000 U.S. Dollars based on the currency exchange rate of the Central Bank of Russia of 56.6747 Russian roubles per 1 U.S. Dollar as of 7 June 2017 when the amount of dividends was recommended by the Board of Directors of Polyus). Dividends will be paid in Russian roubles to shareholders that held the ordinary shares of the Company (the "Shares"), including the newly-issued ordinary shares of the Company placed through an open subscription under Russian law ("New Shares"), as of the end of trading on 17 July 2017 (the "Dividend Record Date").
Taking into account the expected number of Shares, including the New Shares, that will be outstanding as of the Dividend Record Date, the dividend rate per Share, including any New Share, is expected to constitute 152.41 Russian roubles (which is equivalent to approximately 2.53 U.S. Dollars per Share or approximately 1.27 U.S. Dollars per each Regulation S and Rule 144A Global Depositary Share and each Level I American Depositary Share, totaling approximately 332,280,716 U.S. Dollars, in each case based on the currency exchange of the Central Bank of Russia of 60.3792 Russian roubles per 1 U.S. Dollar as of 10 July 2017).
