PLANT HEALTH CARE plc (THE "COMPANY")

Director/ PDMR Shareholding

On 01 May 2013, the Company approved the allotment of 23,727 ordinary shares of 1p ("Ordinary Shares") to the following current and former non-executive directors, in accordance with the Company's existing contractual arrangements, which comprise part of the non-executive directors' remuneration packages and are payable in lieu of a part of their fees. The shares were allotted at 89p per share, calculated at the closing middle market price derived from the Daily Official List on 25 April 2013.

(1) Allotted in the name of David Buckeridge Investigations Ltd., a personal service company(2) Allotted in the name of You and Your Health Ltd., a personal service company

Application has been made for 23,727 Ordinary Shares (the 'New Shares') to be admitted to trading on AIM and admission is expected to occur on 09 May 2013. The New Shares will rank pari passu with the Company's existing Ordinary Shares.

2. DIRECTOR'S HOLDINGS

Following the above-mentioned allotment of Ordinary Shares, the beneficial interest of the director concerned in the enlarged Ordinary Share capital of the Company is as shown below:

Following admission of the New Shares, the total issued share capital of the Company will be 70,529,298 Ordinary Shares, all of which have voting rights. There are no shares in treasury.

The above figure (70,529,298) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Plant Health Care plc under the FSA's Disclosure and Transparency Rules.
