Notification of Transactions of Directors/Persons Discharging
Managerial Responsibility and Connected Persons
The Company announces that on 10 June 2010, Mr Rui de Sousa, the Non-Executive Chairman of the Board, became interested in a further 5,614,200 SOCO International plc ordinary shares of £0.05 each ("Shares"), representing 1.70% of the issued ordinary share capital of the Company.
Mr de Sousa acquired the interest after Palamos Limited, a connected person to Mr de Sousa, exercised 5,614,200 warrants to subscribe for Shares ("Warrants") , as follows:
58,740 Warrants at a subscription price of £0.1375 per Share;
3,440,748 Warrants at a subscription price of £0.1500 per Share;
2,114,712 Warrants at a subscription price of £0.1625 per Share.
As a result of these transactions, Mr de Sousa is interested in a total of 8,800,824 Shares, representing 2.66% of the issued share capital of the Company and 162,604 Warrants. Mr de Sousa's interest is held as follows:
Mr de Sousa holds 254,608 Shares personally;
Palamos Limited holds 8,546,216 Shares and 162,604 Warrants to acquire Shares at a subscription price of £0.1375 Share.
The above figures reflect the sub-division of the Company's issued share capital which became effective on 10 June 2010, whereby each existing ordinary share of £0.20 was subdivided into four ordinary shares of £0.05 each.
