Total Voting Rights

Pathfinder confirms that, further to its announcement of 19 October 2020, and upon admission of the 4,166,666 new ordinary shares of 0.1p each in the capital of the Company ("Ordinary Shares") which are expected to admit to trading on 26 October 2020, the Company will have 381,172,547 Ordinary Shares in issue, rather than the 376,557,163 previously stated. The Company does not hold any Ordinary Shares in treasury, therefore the number of Ordinary Shares with voting rights will be 381,172,547.

Accordingly, from 26 October 2020, this number should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
