Proposed disposal of East Anglian Canned Grocery Operations to Princes Limited (the "Disposal")

Premier Foods notes the decision released today by the Office of Fair Trading ("OFT") to suspend referral of the Disposal to the Competition Commission pending agreement of the terms of an undertaking by Princes to divest the entire Fray Bentos business to an upfront buyer as approved by the OFT.

Completion of the Disposal is expected at the end of July.
