(i) 7,000,000 Ordinary shares were pledged by BRS Capital Limited (of which Dr. B. R. Shetty is the sole shareholder) as security for borrowings raised by BRS Capital Limited; and (ii) BRS Capital Limited entered into (on behalf of Dr. B. R. Shetty) related put and call options referencing the 7,000,000 Ordinary shares.

Under the terms of the pledge Dr. B. R. Shetty may, subject to market conditions, be able to recall the shares for the purpose of exercising the voting rights thereunder.
