Statement re Litigation

On October 15, a lawsuit was brought against NLMK by DBO Holdings, Inc. The lawsuit concens NLMK's proposed acquisition (by way of merger) of the John Maneely Company. There have been disagreements concerning the rights and obligations of the parties under the Merger Agreement, and at this time, NLMK has not closed the transaction. The suit was filed in the United States District Court for the Southern District of New York. It alleges that NLMK breached the terms of the Merger Agreement and seeks to obtain damages in an amount to be determined at trial, an order to compel NLMK to fulfill its obligations under the Merger Agreement, and an award of costs and such other relief as the court may grant. NLMK has retained legal counsel in New York, and intends to defend vigorously against the claims.
