Grant of Options
The Company today announces that it has granted options for nil consideration over a total of 181,396 ordinary shares of 10 pence each to certain of its employees under the Company's Long Term Incentive Plan (the "LTIP") together with linked options granted under Schedule A (United Kingdom - CSOP Options) to the LTIP (the "CSOP"), as approved by its remuneration committee. The LTIP options may be exercised for nil cost, while the CSOP options are exercisable at £17.02 per ordinary share. Both sets of options will vest subject to achievement of profit-based financial targets on 6 June 2020.
The LTIP options and linked CSOP options have been granted together to allow, where possible, the option holder to receive any gain on their LTIP option in a tax efficient manner. The option holder will receive the same gross gain as they would have received had they only been granted the LTIP option. At the time of exercise, to the extent that there is a gain on the CSOP option, the option granted under the LTIP will be forfeited to the same value.
Details of options granted to persons discharging managerial responsibility are set out below in compliance with Article 19 of Regulation 596/2014.
