Grant of share options
Nightcap (AIM: NGHT), the owner of The Cocktail Club, the Adventure Bar Group and the Barrio Familia group of bars, announces that it has today granted a total of 3,864,407 share options to a number of the Group's employees (the "Options"). These Options have been granted pursuant to Nightcap's Share Option Plan, under the Company Share Option Plan ("CSOP") and also as unapproved options, with all Options having been granted on the same terms.
677,966 Options have been granted to Dawn Donohoe, who has broadened her Managing Director role by assuming overall responsibility for management of The Cocktail Club and Barrio Familia brands. 542,373 Options have been granted to Jim Robertson, Managing Director of Barrio Familia Group. Dawn Donohoe and Jim Robertson are both persons discharging managerial responsibilities ("PDMRs"). The other 2,644,068 Options have been granted to Group employees.
All of the Options have been granted with an exercise price of 14.75 pence, representing the closing mid-market share price on 15 March 2022. The Options will become exercisable from the third anniversary of the grants until the tenth anniversary of the date of the grants, but will only be exercisable when and if the Company was profitable in the prior accounting year (for these purposes, "profitable" means taking the Company's reported consolidated profit before tax for the relevant prior accounting year and adding back interest, depreciation and amortisation, exceptional items and non-recurring costs).
Following today's Option grants, Nightcap's entire option pool is now equivalent to 12.77% of the Company's issued ordinary share capital.
