Update on fundraising
Management Change
Total Voting Rights
Further to the Company's previous announcements including the announcement made on 28 June 2024, Nightcap, the owner and operator of 46 premium bars, announces that application has been made to the London Stock Exchange for the 30,000,000 new ordinary shares of 1p each (the "Subscription Shares") to be admitted to trading on AIM ("Admission"). The Subscription Shares have been subscribed for at an issue price of five pence per share to raise gross proceeds of £1.5 million.
It is anticipated that Admission will occur, and dealings will commence in the Subscription Shares at 8:00 a.m. on or around 1 July 2024.
The Subscription Shares will rank pari passu in all respects with the existing ordinary shares of 1p each (the "Ordinary Shares") of the Company and therefore will rank equally for all dividends or other distributions declared, made or paid after their issue.
Further to the Company's announcement on 12 June 2024, the Company continues to expect the settlement and completion of the separate tranche of the fundraising, being a subscription for 15,000,000 new Ordinary Shares at an issue price of five pence per share, to occur on or before 2 September 2024. Further announcements will be made in relation to this process as appropriate.
Management Change
The Company announces that with the announcement of the Company's proposed cancellation of its ordinary shares to trading on AIM ("Proposed Cancellation"), Richard Haley has today concluded his temporary role as Interim Chief Financial Officer (non-board capacity). Subject to the requisite shareholder approval at a general meeting of the Company being convened on 17 July 2024, it is anticipated that the Proposed Cancellation will become effective at 7.00 a.m. on 29 July 2024. Further details regarding the Proposed Cancellation were announced by the Company at 7.00 a.m. today, 28 June 2024.
Total Voting Rights
Following the issue and Admission of the Subscription Shares, the Company's enlarged issued ordinary share capital will comprise 264,550,656 Ordinary Shares with one voting right per share. The Company does not hold any Ordinary Shares in treasury. Therefore, following the issue and Admission of the Subscription Shares the total number of Ordinary Shares in the Company with voting rights will be 264,550,656.
