New World Oil and Gas Plc ('New World' or 'the Company')
Issue of Equity
The Board of New World announces that it has issued new ordinary shares in the Company ("the Shares") pursuant to the agreements as set out below.
Further to the announcement of 16 June 2011 and the terms of the Farm-Out Agreement for the Blue Creek Concession, Belize, the Company have issued:
- 943,841 Shares at 6.5p per Share to Blue Creek Exploration Limited in agreed partial payment of historical costs; and
- a total of 641,815 Shares at 6.5p per Share, and 455,840 Shares at 6.75p per Share as agreed part payment of services provided by consultants on the seismic programme.
Further to the announcement of 12 May 2011 and the agreement with First Meadows Limited to source oil and gas projects, the Company have issued:
- 250,000 Shares at 5p per Share to Robert Hankes, together with 250,000 warrants to subscribe for Shares at 10p per Share, exercisable within three years from the date of grant.
Application will be made for the total number of 2,291,496 Shares, which will rank pari passu with all existing ordinary shares, to be admitted to trading on AIM ("Admission"). Admission is expected to take place on or around 1 July 2011.
Following the issue of equity as described above, the Company's issued share capital consists
of 78,019,496 ordinary shares of no par value.
