Announcement of Conditional Share Award
to Executive Director

Modern Water plc announces that on 24 April 2012 the following conditional share award of ordinary shares of 0.25p each were made to a director under the Modern Water plc Incentive Plan:
Simon Humphrey, Chief Executive Officer - 150,000 shares, representing 0.25% of the issued share capital of the Company.
Subject to achieving certain performance conditions, this award will vest on 24 April 2015.
Including this award, the total outstanding shares in which Simon Humphrey has an interest under conditional share awards and share options are:
773,917 shares, representing 1.3% of the issued share capital.
Simon Humphrey holds the following shares:
1,812,000 shares, 3.05% of the issued share capital.
