Marwyn Value Investors Limited (the "Company")

Share Transfer

The Company today announces that it was notified that on 20 April 2022, 4,460,555 of the Company's ordinary shares ("Ordinary Shares") which were held by Marwyn Long Term Incentive LP ("MLTI") and indirectly attributable to Mark Brangstrup Watts, have been transferred to Mark's personal account. There is no change in the ultimate beneficial ownership of these Ordinary Shares.

Following this transfer, MLTI holds 4,777,926 Ordinary Shares, representing approximately 8.41% of the Company's total voting rights and Mark Brangstrup Watts holds 4,483,282 Ordinary Shares, representing approximately 7.90% of the Company's total voting rights.

Mark Brangstrup Watts is a partner of Marwyn Investment Management LLP, the manager of the Company. Whilst Mark Brangstrup Watts is not a Person Discharging Managerial Responsibility ("PDMR") within the meaning of the UK version of Regulation (EU) 596/2014, as incorporated in the UK by virtue of the European Union (Withdrawal) Act 2018, as amended in relation to the Company, he has voluntarily disclosed the information above to the Company, and the Company is voluntarily disclosing the information above to the market, as if he were a PDMR in relation to the Company.
