Posting of Circular and Notice of General Meeting related to the Demerger Proposal

Following yesterday's announcement of its intention to complete the proposed demerger of the GKN Automotive, GKN Powder Metallurgy and GKN Hydrogen businesses from the Melrose Group into a new independent holding company, Dowlais Group plc ("Dowlais") (the "Demerger"), Melrose Industries PLC (the "Company") announces that, pursuant to Listing Rule 9.6.3, a circular together with a notice of General Meeting (the "Circular") in relation to the Demerger, the Melrose Share Consolidation and proposed adjustments to the Melrose incentive arrangements (together, the "Demerger Proposal"), has been approved by the Financial Conduct Authority (the "FCA") and posted to Shareholders today.

The General Meeting to approve the Demerger Proposal, will be held at 10.00 a.m. on Thursday 30 March 2023 at Investec Bank PLC, 30 Gresham Street, London EC2V 7QN.

The Company confirms that, in compliance with Listing Rule 9.6.1, an electronic copy of the Circular is available for download on Melrose's website and has been submitted to the National Storage Mechanism, appointed by the FCA, and will be available shortly for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
