Additional Listing

Further to the Company's announcements on 25 June 2012 and 26 June 2012, regarding anticipated additional listings and completion of the acquisition of Clairmail Inc., the Company announces that it has made application for 5,246,017 ordinary shares of 1p each in the Company ("Ordinary Shares") to be admitted to trading on AIM ("Admission"). The new Ordinary Shares will rank pari passu with the existing Ordinary Shares in the Company and it is expected that dealings in these new Ordinary Shares will commence on 11 July 2012.

Following Admission, Monitise will have 1,039,546,380 Ordinary Shares in issue. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.

As previously announced on 25 June 2012, under the terms of the Agreement Clairmail shareholders are obliged to return signed letters of transmittal to Monitise before they can receive their Consideration Shares. The Admission of these 5,246,017 Ordinary Shares follows the receipt of a number of letters of transmittal since the completion of the acquisition of Clairmail Inc.. A further amount of up to 24,750,363 Ordinary Shares is expected to be issued and admitted to trading over the course of the coming weeks as the remaining letters of transmittal are received from Clairmail shareholders.

All defined terms in this announcement shall have the same meaning as ascribed to them in the Circular dated 7 June 2012.
