Maven Income and Growth VCT 5 PLC (the Company)

Offer for Subscription

On 23 October 2020, the Company and Maven Income and Growth VCT PLC announced the publication of a joint Prospectus (comprising a Securities Note, Registration Document and Summary) in relation to offers for subscription of new Ordinary Shares of 10p each (together the "Offers" and each an "Offer").

The Board is pleased to advise that, with valid subscriptions received to date under the Company's Offer now approaching its initial fundraising target of £10 million, and in view of continued interest from potential investors, the Directors have resolved to utilise the over-allotment facility, as provided for under the terms and conditions of the Offers, to the extent required to meet further investor demand.

The deadline for receipt of applications for the Offers is 12.00 noon on 30 March 2021 in relation to the tax year 2020/21 and 12.00 noon on 30 April 2021 in relation to the tax year 2021/22. The Offers will close on 4 May 2021 unless the relevant Offer is fully subscribed by an earlier date or extended by the relevant Board to no later than 6 October 2021.

As announced on 21 January 2021, the deadline by which Applications must be received and accepted to be eligible for the Early Investment Incentive discount under the Offers has been extended until 12.00 noon on Friday 26 February 2021. It is anticipated that the Companies will make initial allotments of new Ordinary Shares under their respective Offers as soon as practicable after that date.
