Amendments to the Deposit Agreement

MHP SE, a European Public Limited Liability Company ("SE") with registered office at 5, rue Guillaume Kroll, L-1882 Luxembourg, Grand Duchy of Luxembourg (the "Company"), belonging to one of the leading agro-industrial group in Ukraine, announces that on 14 of September 2017, a supplemental agreement amending a Deposit Agreement dated 14 May 2008 between the Bank of New York Mellon, as depositary (the "Depositary") and the Company (the "Deposit Agreement"), was executed (the "Supplemental Agreement"). The Supplemental Agreement provides for the amendments to the terms and conditions of the global depositary receipts representing registered ordinary shares of the Company ("GDRs") as set out in Schedule 1 of the Deposit Agreement and the Master GDRs (the "Existing Conditions").

At the time of entry into the Deposit Agreement, the name of the Company was MHP S.A., and it was a Luxembourg public limited liability company (société anonyme) with registration number R.C.S. Luxembourg B 116 838. On 7 August 2017, MHP S.A. was converted into MHP SE, a European Public Limited Liability Company (Societas Europaea) incorporated under Council Regulation (EC) No 2157/2001 of 8 October 2001 on the Statute for a European Company (SE) (an "SE Company") and under the laws of the Grand Duchy of Luxembourg, and registered with the Luxembourg Trade and Companies Register (R.C.S. Luxembourg) under number B116838. As MHP SE intends to change its place of domicile from the Grand Duchy of Luxembourg to the Republic of Cyprus, the Supplemental Agreement provided for amendments to the Deposit Agreement and the Existing Conditions (the "Amendments").

The Amendments include various updates to the Existing Conditions, including amendments to reflect the fact that the registered office of the Company will be transferred from Luxembourg to Cyprus.

The Amendments take effect on the date on which the Registrar of Companies in Cyprus registers the Company in the Cyprus registry for SE Companies.
