Morgan Sindall PLC28 September 2006 MORGAN SINDALL plc ("the Company") Notification of Directors' interests The following dealings by the Morgan Sindall Employee Benefit Trust (the"Trust") were transacted in ordinary shares of 5p each in the capital of theCompany ("shares"). The Trust is a discretionary trust for the benefit of directors, personsdischarging managerial responsibility ("PDMRs") and employees of the Company andsubsidiaries of the Company. The executive directors of Morgan Sindall plc,namely John Morgan, Paul Smith, David Mulligan and Paul Whitmore, and the PDMRsof Morgan Sindall plc, namely Graham Shennan, Stewart Davenport, Mark Cutler andNigel Bennett are included as potential beneficiaries under the Trust and aredeemed to be interested in shares held by the Trust and the dealings thereof forthe purposes of Section 324 of the Companies Act 1985. On 28 September 2006, the Trust (the trustee of which is Legis Trust Limited),acquired a total of 140,000 shares at a purchase price of £11.575 per share,representing 0.33% of the issued share capital of the Company. The shares werepurchased to hedge the liability of awards made under the Morgan SindallExecutive Remuneration Plan. This transaction was notified to the Company on 28September 2006. The total holding of the Trust following this transaction is445,502 shares being 1.05% of the issued share capital of the Company.
