LOW & BONAR PLC (the "Company")

This notification is made in accordance with DTR 3.1.4(1)(a).

A nil cost option (an "Option") was granted over ordinary shares of 5 pence each in the Company, under the terms of the 2013 Low & Bonar Long Term Incentive Plan (the "Plan"), to a person discharging managerial responsibilities ("PDMR") of the Company on 4 August 2015 as follows:

No consideration was paid for the grant of the Option.

An Option will normally vest on the third anniversary of grant subject to the continued employment of the participant and the satisfaction of performance conditions set by the Remuneration Committee of the Company. To the extent that an Options vests, the participant may call for shares during a period of five years from the date of vesting (or such longer period as the Remuneration Committee of the Company may allow).
