Result of ZDP Tender Offer
The Board of the Company today announces the result of the Tender Offer in respect of its ZDP Shares, the details of which were set out in a circular published by the Company on 19 October 2022 (the "Circular"), and which closed on 1 December 2022. Unless otherwise indicated, capitalised terms used in this announcement shall have the same meaning as given to them in the Circular.
The Tender Offer was fully subscribed, with a total of 979,001 ZDP Shares being validly offered for tender, representing 15 per cent. of the total ZDP Shares carrying voting rights. Validly tendered ZDP Shares will now be purchased by the Company via the Tender Offer at a price of 164.64 pence per ZDP Share, for a total cost of £1.61 million.
It is anticipated that the proceeds payable to the ZDP Shareholders for certificated ZDP Shares purchased under the Tender Offer will be dispatched on or around 14 December 2022 in the form of a cheque and that CREST account holders will have their CREST accounts credited on or around 14 December 2022.
The ZDP Shares purchased via the Tender Offer will be cancelled, reducing the ZDP Share capital from 19,101,384 to 18,122,383. Of the remaining 18,122,383 ZDP Shares, 12,574,705 ZDP Shares are held in treasury, therefore the revised ZDP Share capital carrying voting rights following completion of the Tender Offer is 5,547,678. This figure of 5,547,678 may be used by ZDP Shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the ZDP Shares under the FCA's Disclosure Guidance and Transparency Rules.
