Result of secondary placing of Existing Ordinary Shares in Keywords Studios PLC
PEQ Holdings Ltd. ("PEQ"), the holding company of the founders of Keywords Studios PLC ("Keywords" or the "Company") led by Giorgio Guastalla, Non-Executive Director of Keywords, and Andrew Day, CEO of Keywords, (together with PEQ, "the Sellers") announce that further to the announcement on 23 May 2017 regarding their proposal to sell ordinary shares in Keywords, they have successfully sold 4,478,000 existing ordinary shares in Keywords (the "Placing Shares") at a price of GBP 8.20 per share (the "Placing").
The Placing Shares represent, in aggregate, 8.05% of the issued share capital of the Company. Following completion of the Offering PEQ and Andrew Day will retain beneficial interests in 7.2% and 5.9% corresponding to approximately 4.0 million and 3.3 million ordinary shares, respectively, of the entire issued share capital of Keywords. The Sellers have agreed to lock-in arrangements in relation to the balance of their Ordinary Shares for 180 days following the completion of the Placing.
The Placing is expected to settle on 31 May 2017, subject to the satisfaction or waiver of certain customary conditions. The Company is not a party to the Placing and will not receive any proceeds from the Placing.
