Voting Rights and Capital

Transparency Directive

We would like to notify the market of the following change to the capital of the Company as at 30 April 2010:

The Company's capital consists of 171,617,500 ordinary shares with voting rights. The Company holds 5,237,017 ordinary shares in Treasury.

Therefore, the total number of voting rights in the Company is 166,380,483.

The above figure (166,380,483) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Kingspan Group plc under the Disclosure and Transparency Rules.
