Total Voting Rights

Further to K3's announcement of 12 June 2017, the Company is pleased to announce today the passing of the Resolution at the General Meeting. The Placing and Open Offer remain conditional on Admission of the New Ordinary Shares to AIM which is expected to take place at 8.00 a.m. tomorrow.

With effect from Admission the Company will have 42,946,665 Ordinary Shares in issue, with no shares held in treasury. Shareholders may use this figure as the denominator by which they are required to notify their interest in, or change to their interest in, the Company under the Disclosure Guidance and Transparency Rules.

Capitalised terms not otherwise defined in the text of this announcement have the meanings given to them in the Company's circular dated 12 June 2017.
